SampleDir Terms of Service

Note. This Agreement is drafted in line with common software-industry practice and is distributed with SampleDir worldwide. It does not constitute legal advice; if you have questions about its validity or applicability, consult a lawyer licensed in your jurisdiction.

1. Acceptance of Terms

By downloading, installing, or using SampleDir (the "Software"), you agree to be bound by this Agreement. If you do not agree, do not use the Software.

Subject to your purchase of a license and compliance with this Agreement, SampleDir grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software:

4. Payments & Refunds

Payments are processed by Creem, acting as our Merchant of Record. Prices, taxes, and the checkout flow are presented by Creem. Refunds are handled according to Creem's refund policy and applicable consumer law. SampleDir does not store your card or payment details.

5. Intellectual Property

The Software, including all code, design, and documentation, is owned by the operator of SampleDir (ssxm) and is licensed, not sold. Your own sample files, audio, and metadata remain yours; the Software only reads and organizes them locally on your device.

The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant that operation will be uninterrupted or error-free. The Software is not intended for any use where failure could endanger life or property.

8. Limitation of Liability

To the maximum extent permitted by law, SampleDir shall not be liable for any indirect, incidental, special, or consequential damages. Our aggregate liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim. This does not affect any rights you have as a consumer that cannot be excluded by law.

9. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the People's Republic of China (without regard to its conflict-of-laws rules). In the event of a dispute, the parties shall first attempt friendly negotiation; if negotiation fails, either party may submit the dispute to the competent courts located where the operator of SampleDir is established. If you are a consumer, the mandatory consumer protections of your country of residence still apply and supersede this clause where required by law.

10. Changes

We may update this Agreement. Continued use after changes take effect constitutes acceptance. The latest version is always at this URL.
